Terms of Service

By accessing and using the AgentorNG website (agentorng.ai) and services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

AgentorNG provides software development, artificial intelligence, machine learning, computer vision, web and mobile application development, cloud architecture, and related technology consulting services. Specific terms for individual projects are defined in separate Statements of Work (SOW) or project agreements.

Unless otherwise specified in a project agreement, all intellectual property rights in deliverables created specifically for a client will be transferred to the client upon full payment. AgentorNG retains the right to use general knowledge, skills, experience, and pre-existing tools and frameworks.

Both parties agree to maintain the confidentiality of proprietary information shared during the course of engagement. This obligation survives the termination of any business relationship for a period of two (2) years.

Payment terms are specified in individual project agreements. Unless otherwise stated, invoices are due within 30 days of receipt. Late payments may incur interest at a rate of 1.5% per month.

To the maximum extent permitted by law, AgentorNG's total liability for any claims arising from our services shall not exceed the total fees paid by the client for the specific project in question.

We warrant that our services will be performed in a professional and workmanlike manner. For software deliverables, we provide a 90-day warranty period during which we will fix defects at no additional cost.

Either party may terminate an engagement with 30 days written notice. Upon termination, the client shall pay for all work completed up to the date of termination and receive all deliverables produced.

These terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.
